Confidential Employer in Washington, DC, seeks an attorney with 4+ years in real estate finance or commercial lending to represent lenders in sophisticated transactions.

You will draft loan documents, manage diligence through closing, review title and surveys, and collaborate with partners and clients. Active DC/MD/VA bar is required.

  • Draft and negotiate loan agreements, notes, mortgages, deeds of trust, guarantees, and other financing documents.
  • Manage transactions from initial due diligence and documentation through negotiation and closing.
  • Review title commitments, surveys, organizational documents, and other transaction diligence materials.
  • Identify and resolve legal, collateral, and closing issues affecting lending transactions.

Job Description
  • Represent lenders and financial institutions in sophisticated real estate secured financing transactions and commercial loans.
  • Work with partners on complex real estate finance and transactional lending matters.
  • Draft and negotiate loan agreements, notes, mortgages, deeds of trust, guarantees, and other financing documents.
  • Manage transactions from initial due diligence and documentation through negotiation and closing.
  • Review title commitments, surveys, organizational documents, and other transaction diligence materials.
  • Identify and resolve legal, collateral, and closing issues affecting lending transactions.
  • Communicate directly with clients, borrowers, opposing counsel, title companies, and other transaction participants.
  • Support traditional lender finance matters and potentially assist with public finance transactions.
  • Assist with bond transactions involving nonprofit organizations, infrastructure projects, and public private partnerships when applicable.
  • Contribute to client relationships and the continued growth of the real estate finance practice.
Qualifications
  • JD from an accredited law school.
  • Active DC, MD, or VA bar license.
  • 4+ years of directly relevant real estate finance or commercial lending experience.
  • Experience representing lenders or financial institutions in commercial financing transactions.
  • Experience with real estate secured lending and commercial loans.
  • Experience drafting and negotiating loan and financing documents.
  • Experience reviewing title and survey matters.
  • Strong written, oral, analytical, organizational, and client communication skills.
  • Ability to manage transactions independently while collaborating effectively with partners and deal teams.
  • Public finance or municipal bond experience is preferred but not required.
