Job summary

Exus Renewables North America is seeking a Real Estate Development Paralegal to support legal and development teams in establishing site control for renewable energy projects. You will manage the lifecycle from ordering titles to closing and coordinate with internal and external partners to move transactions forward efficiently.

The role requires a Bachelor’s degree in paralegal studies or related field, plus 3+ years in real estate law and paralegal certification preferred.

Qualifications

  • Bachelor’s degree in paralegal studies or related field, with training in contracts/legal, compliance or project management.
  • 3+ years’ experience in real estate law, preferably with a focus on real estate and/or land development.
  • Prior law firm experience preferred.
  • Paralegal certification strongly preferred.
  • Infrastructure development or Renewable energy background highly preferred.

Responsibilities

  • Conduct real estate due diligence for potential development sites, including analysis of property records (liens, judgments, easements, leases, mineral rights, access rights, tax records, surveys, vitals) affecting real property.
  • Review title matters including vesting, encumbrances, exceptions, leasehold interests, and site control documents.
  • Review title policies and ALTA surveys for quality and identify encumbrances to title and challenges for site control.
  • Review and approve deeds, leases, easements, operating agreements, corporate resolutions, affidavits, curative documents, and other transaction instruments.
  • Negotiate curatives for title exceptions with title insurers; obtain SNDAs, estoppels, lien waivers, surface waivers, crossing agreements as curatives to title and closings.
  • Coordinate with title insurance company, escrow, legal and business partners to resolve title issues to move to close on acquisitions.
  • Communicate title requirements, exceptions, curative needs, and closing-related matters with internal and external partners.
  • Coordinate with external counsel on complex real estate and project finance issues.
  • Manage closing documents and prepare for property and project finance closings.
  • Maintain detailed records and organize project files.

Job description

The Real Estate Development Paralegal will support the legal and development teams to establish site control for our renewable energy projects. This role works within a larger team to manage the lifecycle process from ordering titles to closing. You will be a key part of ensuring our projects move forward smoothly and compliantly.

  1. 1. Conduct real estate due diligence for potential development sites, including, but not limited to the analysis of property records, including liens, judgments, easements, leases, mineral rights, access rights, tax records, surveys (boundaries and ALTAs), vital statistics and other documents affecting real property.
  2. 2. Review legal descriptions, vesting, encumbrances, exceptions, leasehold interests, site control documents and other title matters affecting energy and renewable energy projects.
  3. 3. Review title policies and ALTA surveys for quality and accuracy and identify encumbrances to title and challenges for site control, etc.
  4. 4. Review and approve documentation including deeds, leases, easements, operating agreements, corporate resolutions, affidavits, curative documents, and other transaction related instruments.
  5. 5. Negotiate curatives for exceptions on title with title insurance companies, organize and track progress on curative work; independently obtain SNDAs, estoppels, lien waivers, surface waivers, crossing agreements as curatives to title and project finance closings.
  6. 6. Coordinate with title insurance company, escrow, legal and business team partners to resolve title issues to move to close on property acquisitions.
  7. 7. Communicate clearly with internal and external partners regarding title requirements, exceptions, curative needs, and closing-related matters.
  8. 8. Coordinate with external legal counsel on complex real estate and project finance issues.
  9. 9. Manage closing documents and prepare for property and project finance closings.
  10. 10. Maintain detailed records and organize project files.

Education/Experience Requirements:

  • Bachelor’s degree in paralegal studies or related field, with training in contracts/legal, compliance or project management required.
  • 3+ years’ experience in real estate law, preferably with a focus on real estate and/or land development required.
  • Prior law firm experience preferred.
  • Paralegal certification strongly preferred.
  • Infrastructure development or Renewable energy background highly preferred.
