Base pay range

$133,400.00/yr - $219,000.00/yr

Summary: Under thesupervision of the Senior Corporate Counsel, and leadership of the Vice President Legal Compliance, the Real Estate Counsel will provide full service legal support to the real estate department. The Real Estate Counsel should be able to work independently, make decisions, keep up with a high volume of documents and be an integral part of a busy and fast-paced in-house legal department.

Key responsibilities include management of the following: (i) Harris Teeter’s real estate portfolio, including without limitation: (a) standardization of real estate forms, (b) lease review, negotiation and tracking, (c) real estate acquisitions and due diligence review, (d) joint venture work including Operating Agreements and entity formation documents, (e) real estate brokerage agreements, and (f) other development and leasing documentation such as easements, Covenants, Conditions and Restrictions, Subordination, Nondisturbance and Attornment Agreements, and Estoppel Agreements; (ii) management of outside counsel including billing arrangements; (iii) real estate disputes; (iv) management of a Development Administrator; and (v) any other real estate-related matters and other general corporate work.

The Real Estate Counsel should work well with others, be comfortable working with executives and real estate professionals and be able to make quick decisions in a dynamic environment.

Essential Duties and Responsibilities:

With the support of a Development Administrator/Paralegal, coordinate with Real Estate Department to negotiate store leases based on executed letters of intent.; coordinate lease exhibits with various internal departments, including Real Estate, Construction and outside architectural and engineering vendors; prepare final lease summary description for senior management prior to lease execution.

  • Leasing Work: Reviews and negotiates documents related to lease execution, such as easement documents, Covenants, Conditions and Restrictions, condominium declarations and Subordination, Nondisturbance and Attornment Agreements.
  • Real Estate Acquisitions: Reviews and negotiates real estate acquisition documents, including Purchase Agreements. Coordinates and performs due diligence review, including title and survey, and environmental reviews.
  • Joint Ventures: Reviews and negotiates joint venture documentation such as entity formation documentation, Operating Agreements and other related documentation.
  • General Real Estate Work: Reviews and negotiates other documents related to real estate, such as lease modification agreements and consent letters.
  • Real Estate Form Management: Reviews and standardizes all real estate forms. The Real Estate Counsel will be responsible for performing regular analyses of vendor forms with key Real Estate associates.
  • Deal Tracking: Coordinates and tracks real estate deals, and regularly reports deal status to senior management and Real Estate Department.
  • Outside Counsel Management: Assists in management, annual reviews and evaluations of outside counsel with respect to rates and fee arrangements.
  • Real Estate Disputes: the Real Estate Counsel will advise and assist with respect to the negotiation and resolution of real estate disputes with landlords, governmental entities, adjacent landowners and other affected parties.
  • Subpoena Management: Advising and assisting with response to subpoenas and inquiries, including real estate subpoenas; law enforcement requests; governmental inquiries; condemnation proceedings and Civil Investigative Demands. The Senior Corporate Counsel will understand Harris Teeter’s systems, what data is available and the methods of procuring necessary data.
  • General Legal Issues: Assists Senior Corporate Counsel with the handling and administration of legal issues and drafting of legal documentation. Interprets laws, rulings, and regulations. Manages and maintains corporate entity documents, together with other general corporate work.
  • Supervision of Development Administrator. The Real Estate Counsel will supervise one Development Administrator/Paralegal and will be responsible for management, development and utilization of said Development Administrator.
  • Other duties as may be assigned or required.

Qualifications:

Education/Experience:

Bachelor's degree (B. A.) from four-year college or university; Juris Doctor degree from accredited law school and six to ten years of experience working in a law firm and preferably experience in an in-house legal setting.

Language Ability:

Ability to read, analyze, and interpret general business periodicals, professional journals, technical procedures, or governmental regulations. Ability to write reports, business correspondence, and procedure manuals. Ability to effectively present information and respond to questions from groups of managers, clients, customers, and the general public.

Math Ability:

Ability to add, subtract, multiply, and divide in all units of measure, using whole numbers, common fractions, and decimals. Ability to compute rate, ratio, and percent and to draw and interpret bar graphs.

Reasoning Ability:

Ability to solve practical problems and deal with a variety of concrete variables in situations where only limited standardization exists. Ability to interpret a variety of instructions furnished in written, oral, diagram, or schedule form.

Computer Skills:

To perform this job successfully, an individual should have knowledge of word processing software; spreadsheet software; internet software and database software.

Certificates, Licenses, and/or Designations:

Must be licensed to practice law in the United States. North Carolina license is a plus.

Supervisory Responsibilities:

This position will supervise the Development Administrator.
