Job summary

Jobot is seeking an experienced Corporate Governance & Securities Paralegal with public company exposure to support its corporate legal team in San Francisco. The role covers equity administration, regulatory filings, and governance matters, working closely with senior leadership and external counsel.

Ideal candidates bring 5+ years of relevant experience, strong knowledge of securities laws, and the ability to manage multiple priorities in a fast-paced, regulated environment.

Qualifications

• 5+ years in corporate securities, governance, or public-company compliance.
• Bachelor's degree in a related field.
• Strong knowledge of securities laws and public-company reporting obligations.
• Experience with equity administration and capitalization tables.
• Strong communication and handling of confidential information.

Responsibilities

• Manage corporate securities administration including equity plans, issuances, transfers, cancellations, and related docs.
• Maintain capitalization tables and shareholder records.
• Prepare and coordinate regulatory filings, incl. SEC filings and exchange disclosures.
• Monitor compliance with securities laws and governance requirements.
• Support corporate transactions—mergers, financings, reorganizations, restructurings.
