Job summary

JW Michaels & Co. seeks a Securities Attorney at the Vice President level to support its Private Wealth Legal team. The role focuses on securities, capital markets, investment management, and regulatory matters for private real estate and related private wealth products.

You will collaborate with senior stakeholders across legal, compliance, product, and investment teams and oversee outside counsel for sophisticated transactions within a growing private wealth platform.

Qualifications

  • 6+ years of relevant legal experience at a leading law firm or financial services organization.
  • Strong experience in securities, capital markets, investment management, or financial services law.
  • Substantial knowledge of U.S. securities laws and SEC regulations.
  • Experience advising investment managers, asset managers, private funds, registered funds, REITs, or other investment products preferred.
  • Experience with private wealth products, real estate investment products, or alternative investments is a plus.
  • Strong understanding of offering documents, securities disclosures, and regulatory requirements.
  • Excellent analytical, drafting, and communication skills.
  • Ability to provide practical, business-oriented legal advice in a fast-paced environment.
  • Comfortable working directly with senior business leaders and managing multiple complex matters simultaneously.
  • Strong judgment, attention to detail, and ability to collaborate effectively across a large organization.

Responsibilities

  • Provide legal advice on securities, investment management, and regulatory matters relating to private wealth investment products.
  • Advise on the structuring, development, offering, and ongoing management of private real estate and other alternative investment products.
  • Support product development and strategic initiatives across the Private Wealth business.
  • Advise on securities laws and regulations, including the Securities Act of 1933, Securities Exchange Act of 1934, Investment Company Act of 1940, and related SEC rules and regulations.
  • Support public and private securities offerings, capital markets transactions, and related corporate matters.
  • Review and advise on offering documents, disclosure materials, investor communications, marketing materials, and other securities-related documentation.
  • Partner with investment, product, distribution, finance, tax, compliance, and other internal teams on complex legal and business matters.
  • Work closely with senior business leaders to identify and address legal and regulatory considerations associated with new products and initiatives.
  • Coordinate with external counsel and provide oversight of outside legal resources as appropriate.
  • Monitor developments in securities and investment management law and advise internal stakeholders regarding relevant changes.
  • Assist with regulatory inquiries, filings, and other ongoing legal and compliance matters.
  • Contribute to the development of legal processes and infrastructure supporting the firm's expanding private wealth platform.

The firm has a significant and growing private wealth business, providing individual investors and financial advisors with access to institutional-quality alternative investment products.

The Opportunity

Our client is seeking a Securities Attorney at the Vice President level to join its Private Wealth Legal team. This attorney will provide legal support primarily to the firm's flagship private real estate investment platform and related private wealth products.

The role will focus on securities, capital markets, investment management, and regulatory matters, with significant interaction across the firm's legal, compliance, investment, product, distribution, and business teams.
