Job summary

JW Michaels & Co. seeks a Private Wealth Funds Attorney at the Vice President level to support an expanding Private Wealth platform.

The attorney will focus on registered funds, BDCs, and related vehicles and will work closely with investment professionals and senior management. The role offers broad exposure to fund structuring, product development, regulatory matters, governance, and ongoing legal support across jurisdictions.

Qualifications

• 6+ years of legal experience focusing on registered funds and/or investment management law.
• Strong knowledge of the Investment Company Act of 1940 and applicable securities laws.
• Experience with BDCs, interval funds, closed-end funds, or other registered investment products.
• Experience with registered-fund or public-company filings is preferred.
• Exposure to ERISA, retirement assets, private funds, or private wealth products is a plus.
• Ability to translate complex regulatory requirements into practical guidance for stakeholders.

Responsibilities

• Serve as a key legal partner in design and development of private wealth funds from concept through launch and ongoing operations.
• Advise on structuring, launch, and ongoing management of registered funds including interval funds and BDCs.
• Provide legal advice regarding the Investment Company Act and securities laws.
• Support fund formation, product development, and strategic initiatives across structures and jurisdictions.
• Partner with senior leadership on new products and evolving fund structures.
• Translate complex regulatory requirements into practical guidance for investment professionals.
• Prepare and manage registered-fund board materials and related meetings.
• Manage filings such as 8-K, 10-Q, 10-K, N-2, N-CSR, prospectus updates.
• Advise on ongoing legal, regulatory, governance, and operational matters for funds.
• Provide legal support for marketing, investor communications, and fundraising materials.
• Collaborate with internal and external counsel to monitor developments and improve processes.
• Help develop and improve legal processes and infrastructure as the platform grows.
