Qualifications

  • Experience with registered funds, BDCs, interval funds, or related products is preferred.

Responsibilities

  • Serve as a key legal advisor in the development and launch of private wealth investment products, from initial concept through ongoing operations.
  • Advise on the structuring, formation, launch, and ongoing management of registered funds, including interval funds, closed-end funds, BDCs, and other investment vehicles.
  • Provide legal guidance regarding the Investment Company Act of 1940, securities laws, and other applicable regulatory requirements.
  • Support fund formation, product development, and strategic initiatives involving various investment structures, strategies, and jurisdictions.
  • Partner with senior leadership and business teams on new product initiatives, evolving fund structures, and the continued growth of the private wealth platform.
  • Translate complex legal and regulatory requirements into practical guidance for investment professionals, senior management, and other business stakeholders.
  • Support registered-fund board matters, including preparation and review of board materials and participation in board meetings.
  • Oversee and advise on regulatory and public-company filings, including Forms 8-K, 10-Q, 10-K, 10, N-2, N-CSR, registration statements, prospectus updates, and related filings, as applicable.
  • Advise on ongoing legal, regulatory, governance, and operational matters affecting registered funds and related investment products.
  • Provide legal guidance regarding marketing materials, investor communications, fundraising materials, and other external-facing content.
  • Work closely with internal Legal and Compliance teams and external counsel to monitor and implement changes in applicable laws, regulations, and industry standards.
  • Contribute to the development and enhancement of legal processes, policies, standards, and infrastructure supporting the growth of the platform.

A leading global investment management firm is seeking a Private Wealth Funds Attorney to join its growing legal team supporting a broad platform of registered funds, business development companies (BDCs), and other investment products distributed through private wealth channels.

This position will provide significant exposure to the development and management of registered and private wealth investment products. The attorney will advise on a broad range of legal, regulatory, governance, and corporate matters, with responsibilities spanning product development and structuring through launch and ongoing operations.

Qualifications
  • 4+ years of legal experience at a law firm or in-house, preferably with a focus on registered funds, investment management, securities, or related areas.
  • Strong knowledge of the Investment Company Act of 1940 and other applicable securities laws and regulations.
  • Experience with BDCs, interval funds, closed-end funds, or other registered investment products is strongly preferred.
  • Familiarity with public-company or registered-fund reporting and regulatory filings is preferred.
  • Experience involving ERISA, retirement assets, private funds, or products distributed through private wealth channels is a plus, but not required.
  • Strong analytical, drafting, communication, and relationship-management skills.
  • Demonstrated ability to exercise sound judgment and provide practical, business-oriented legal advice.
  • Highly proactive and collaborative, with the ability to manage multiple priorities and work effectively in a fast-paced, deadline-driven environment.
  • Comfortable working cross-functionally with senior stakeholders, business professionals, and external advisors.
