Job summary

Hamilton Lane Advisors, a leading private markets investment firm, seeks a Private Funds Attorney to support closed-end and evergreen funds, separate accounts, and fund-of-one structures. You will draft and negotiate fund documents, supervise outside counsel, and coordinate with structuring teams on new fund launches.

The role requires a JD from a U.S. law school, bar admission in at least one state, and 4–7 years of relevant practice in asset management or private markets.

Qualifications

  • JD required and bar admission in at least one state.
  • 4–7 years of practicing attorney experience.
  • Experience in asset management, fund formation, private equity, or corporate law preferred.
  • Knowledge of corporate, partnership, and private markets law.

Responsibilities

  • Oversee outside counsel in drafting and negotiating fund documents for closed-end and evergreen funds and separately managed accounts.
  • Collaborate with structuring and product development teams on fund launches and client agreements.
  • Provide strategic advice to internal clients and senior leadership.
  • Interface with clients, investors, counsel, and other departments on fund matters.
  • Draft and negotiate amendments and fund-related amendments or transfers.
  • Manage special fund-investor negotiations and closings, MFN processes, and LP transfers.
  • Support distribution and platform agreements for evergreen funds, including oversight of outside counsel.
  • Ensure compliance with securities and tax laws, including ERISA, and coordinate US/non-US filings.

The Opportunity:

To satisfy the needs of our expanding client base, Hamilton Lane is looking to hire a Private Funds Attorney who will support the Company’s closed end and evergreen comingled funds, separate account clients and single investor/fund-of-one structures. In this role you will handle structuring, drafting and negotiating closed end and evergreen comingled funds and separate account documentation, including overseeing outside counsel.

Your responsibilities will be to:

  • Overseeing outside counsel in drafting, reviewing and negotiating operative documents (including limited partnership agreements, LLC agreements, subscription agreements, private placement memoranda, etc. and/or other ancillary documents) for the Company’s closed end and evergreen comingled funds and separately managed accounts.

  • Working in coordination with our structuring and product development teams to advise on structuring and closing/launching new funds and client agreements.

  • Provide strategic advice and make recommendations to internal clients and senior leadership regarding current and prospective mandates.

  • Interface with other business departments, clients/investors and their counsel, outside counsel and other parties in connection with the Company’s current and prospective closed end and evergreen comingled funds, separate accounts and single investor/fund-of-one clients.

  • Drafting and negotiating amendments, extensions, re-ups and/or other modifications to the Company’s existing evergreen funds and separate account and single investor/fund-of-one client relationships.

  • Managing specialized fund investor negotiations and closings, MFN processes and limited partner transfers.

  • Working on distribution and platform agreements for evergreen funds, including overseeing outside counsel and closing new relationships.

  • Ensuring compliance with applicable securities and tax laws and regulations, including ERISA.

  • Overseeing outside counsel in structuring and negotiating fund credit facilities.

  • Periodic review of, refinements to, and updating of the Company’s form agreements, internal and external processes, and outside counsel guidelines.

  • Handling and coordinating US and non-US regulatory filings and applications.

  • Special projects as assigned.

Your background will include:

  • Juris Doctorate from an accredited U.S. Law school and licensed to practice in at least one state.

  • 4-7 years’ work experience as a practicing attorney, preferably within the asset management, fund formation, private equity and/or corporate departments of a law firm or financial services business.

  • Working knowledge of corporate, partnership and other private markets’ law is required, in addition to supporting (and willingness to learn) select non-U.S. regulatory matters.

  • Registered 40 Act and global fund formation experience is a plus.

  • Exhibit sound practical judgment with a commercial, client-service orientation and focus on efficiency.

  • Excellent communication skills to interface effectively with clients, colleagues, outside counsel and other parties.

  • A strong, proactive work ethic and a commitment to being a collaborative team player.

  • Proven analytical and organizational skills with strong attention to detail.

  • Strong interpersonal skills and a positive work ethic. High level of integrity.

  • Willingness to learn new topics and work in an evolving business environment.
