Responsibilities

• Advise on formation, structuring, and operation of private investment funds.
• Draft and negotiate fund formation documents (LPAs, PPMs, side letters, GPs).
• Counsel fund sponsors and investors on governance, terms, and co-investments.
• Ensure compliance with securities laws; advise on registrations, exemptions, AML, Form D/PF.
• Conduct due diligence on documents and support restructurings, secondaries, wind-downs.
• Assist with marketing, investor relations, and advertising compliance.
