Duties:

Draft and negotiate core fund formation documentation, including:

Limited partnership agreements

Private placement memoranda

Subscription agreements

Advisory and placement agent agreements

Manage the full lifecycle of fund launches, including:

Coordinating closing logistics

Overseeing the subscription process

Advise on compliance and structuring issues related to:

Investment Company Act exemptions

Regulation D and related federal securities laws

Serve as liaison between legal teams, clients, and fund investors throughout transactions

Assist with the preparation and review of regulatory filings and legal opinions

Requirements:

3 to 6 years of experience in fund formation or closely related investment management work

Strong project management skills and the ability to independently lead components of fundraising

Familiarity with investor negotiations, including side letters and closing procedures

Demonstrated understanding of applicable securities regulations

Education:

Juris Doctor (J.D.) from an accredited law school

Certifications:

Admission to the New York State Bar (or eligibility for immediate admission)
