Qualifications

• 6-15 years of corporate and transactional experience in a law firm or equivalent.
• Significant M&A and private equity investments experience.
• Experience representing sponsors, portfolio companies, founders, or strategic buyers.
• Strong drafting, negotiation, analytical, and client counseling skills.
• Ability to manage multiple transactions and work well in a team.
• Excellent academic credentials and communications skills.

Responsibilities

• Represent private equity funds, portfolio companies, and corporate clients in mergers, acquisitions, divestitures, and strategic transactions.
• Draft, negotiate, and manage transaction documents.
• Conduct and supervise due diligence and coordinate closings.
• Advise on corporate governance matters, ownership structures, and ongoing business operations.
• Collaborate with clients, investment professionals, lenders, accountants, and opposing counsel throughout the transaction lifecycle.
• Work with attorneys across practice groups to provide comprehensive solutions to clients.
