Aligned Talent Acquisition is seeking a Private Equity & Mergers & Acquisitions Associate Attorney for its Dallas office on a hybrid basis. The ideal candidate has 5–7 years of private equity, M&A, or corporate transactional experience at a sophisticated law firm and is adept at handling complex deal work.

Candidates should have experience representing PE sponsors, portfolio companies, and strategic buyers, and be capable of leading deal teams from LOI to close while managing client interactions

Qualifications

• 5–7 years of private equity, mergers & acquisitions, or corporate transactional experience at a sophisticated law firm.
• Experience representing PE sponsors, portfolio companies, strategic buyers, sellers, and independent sponsors.
• Leading acquisitions, dispositions, LBOs, recapitalizations, and growth equity investments.

Responsabilités

• Drafting and negotiating purchase agreements, merger agreements, equity investment documents, and related schedules.
• Coordinate due diligence and oversee deal execution from LOI through closing.
• Advise on general corporate governance and ongoing corporate matters.
