• Structure and negotiate leveraged financing deals, including acquisition financings and growth capital arrangements.
• Draft and revise key transaction documentation, such as commitment letters, credit agreements, intercreditor agreements, and security instruments.
• Coordinate with internal teams and opposing counsel to ensure timely closings.
• Provide ongoing counsel to clients on debt compliance, structuring considerations, and risk management.
• Conduct due diligence and risk assessment on transactional matters.
