Qualifications

  • Bachelor’s degree required; paralegal certificate preferred but not required.
  • Notary Public designation preferred.
  • Prior experience supporting corporate, structured finance, secured lending, or transactional practices is a plus.

Responsibilities

  • Manage closing of transactions, coordinating closing sets.
  • Draft and prepare documents for asset purchase, structured finance, and securitization.
  • Prepare and manage UCC filings.
  • Conduct due diligence and regulatory research.
  • Maintain transaction records, track deadlines, and monitor filings.
  • Liaise with clients, vendors, and stakeholders; ensure deadlines are met.
  • Proofread and QC legal and transaction documents.
  • Support across all stages of corporate and finance transactions.

Join Alston & Bird’s nationally recognized Finance Practice Group and play a key role in some of the most sophisticated corporate and finance transactions in the market.
Our New York office is seeking a highly motivated Paralegal with 3+ years of experience to support a dynamic team of attorneys through all phases of complex corporate and finance matters. This is an exciting opportunity for a detail-oriented professional who thrives in a fast-paced, collaborative environment and enjoys working on high-impact transactions.
In this role, you will assist attorneys with transaction management, due diligence, document preparation and organization, closing processes, and regulatory compliance matters. You will have the opportunity to work closely with legal professionals and clients while gaining valuable experience across a broad range of finance-related matters.
What You’ll Do
  • Manage and assist with the closing of various transactions, including the preparation, coordination, and organization of closing sets.
  • Collaborate with attorneys to draft and prepare legal documents related to asset purchase, structured finance, and securitization transactions.
  • Prepare, coordinate, and manage Uniform Commercial Code (UCC) filings.
  • Conduct legal research to ensure compliance with UCC requirements and state‑specific regulations.
  • Perform due diligence reviews, including examining the financial and legal backgrounds of parties involved in transactions.
  • Maintain accurate and organized transaction records, track deadlines, and monitor filing requirements.
  • Build strong relationships and serve as a liaison with clients, vendors, and other stakeholders.
  • Proofread and perform quality control reviews of legal and transaction documents.
  • Coordinate with attorneys to ensure critical deadlines and client expectations are consistently met.
  • Support attorneys throughout all stages of corporate and finance transactions, including due diligence, closings, and post‑closing activities.

Education & Experience

Please note: The nature of our practice often requires overtime and flexibility to meet client demands and transaction deadlines.

Our salary range for this position is $75,000 to $95,000 and represents the Firm’s good faith minimum and maximum range for this role at this time of posting. The actual compensation offered to a candidate will be dependent on a variety of factors including, but not limited to, the candidate’s experience, qualifications, and locations. This range is specific to our New York City office and may not be applicable to other locations.
