Job summary

Alston & Bird LLP in New York seeks a Paralegal with 3+ years of experience to support a dynamic corporate and finance team through all phases of complex matters. You will assist with transaction management, due diligence, document preparation and organization, closing processes, and regulatory compliance.

Work closely with attorneys, clients, and vendors, ensuring deadlines are met and records are meticulously maintained. Notably, notary designation preferred.

Qualifications

• Bachelor’s degree required; paralegal certificate preferred but not required.
• Notary Public designation preferred.
• Prior experience supporting corporate, structured finance, secured lending, or transactional practices is a plus.

Responsibilities

• Manage closing sets and organize closing documents for transactions.
• Draft and prepare legal documents related to asset purchases, structured finance, and securitization.
• Prepare, coordinate, and manage UCC filings.
• Conduct legal research to ensure compliance with UCC and state regulations.
• Perform due diligence reviews and analyze party backgrounds.
• Maintain accurate transaction records and track deadlines.
• Serve as liaison with clients, vendors, and stakeholders.
• Proofread and quality-control transaction documents.
• Coordinate with attorneys to meet critical deadlines and client expectations.
• Support throughout all stages of corporate and finance transactions.
