Reporting to the General Counsel, you will handle contracts, governance, regulatory compliance, IP protection, and litigation support with confidentiality and efficiency. You will collaborate with multiple departments and outside counsel to ensure accurate documentation, timely filings, and adherence to company policies.

Qualifications

  • Requires Associate or Bachelor's degree in a paralegal-related field.
  • Paralegal certificate or equivalent is preferred.
  • 3–5 years of relevant paralegal, legal or corporate support experience.

Responsibilities

  • Draft, review, revise, format, and maintain a variety of legal documents and records.
  • Coordinate contract administration activities including intake, approval tracking, and renewals.
  • Maintain organized legal records and contract repositories in line with policy.
  • Conduct legal and factual research; prepare summaries and issue briefs for counsel.
  • Support governance activities with board materials, minutes, and resolutions.
  • Coordinate with outside counsel and internal stakeholders on litigation and compliance matters.
  • Assist with compliance initiatives, policy updates, and due diligence.

Summary Description

C.F. Martin & Co., Inc. is seeking a highly organized, detail-oriented, and proactive Paralegal to provide comprehensive legal and administrative support to the Legal Department. Reporting to the General Counsel, this position will support a broad range of in-house legal functions, including contract administration, corporate governance, regulatory and policy compliance, intellectual property protection, litigation support, legal research, and department operations. The Paralegal will serve as a trusted resource to internal business partners by helping ensure legal matters are handled accurately, efficiently, confidentially, and in alignment with company policies and business objectives.

Specific Duties And Responsibilities
  • Draft, review, revise, format, and maintain a variety of legal documents, including contracts, amendments, nondisclosure agreements, correspondence, policies, certificates, resolutions, and other legal or business records.
  • Coordinate contract administration activities, including intake, routing, approval tracking, execution, renewal reminders, expiration monitoring, obligation tracking, and retention of fully executed agreements.
  • Maintain organized legal records, corporate files, contract repositories, matter files, and document management systems to ensure information is accurate, accessible, current, and retained in accordance with company policies.
  • Conduct legal, regulatory, and factual research; review applicable statutes, assist with intellectual property, regulations, filings, and background materials; and prepare clear summaries, timelines, charts, or issue briefs for counsel.
  • Support corporate governance activities by assisting with board and committee materials, meeting agendas, minutes, resolutions, consents, entity records, and other governance documentation.
  • Coordinate with outside counsel and internal stakeholders on litigation, claims, subpoenas, discovery requests, document holds, due diligence requests, investigations, and other legal matters.
  • Partner with Human Resources, Finance, Procurement, Sales, Marketing, Operations, and other departments to support contract, employment, compliance, policy, training, and risk-management needs.
  • Maintain the highest level of confidentiality, professionalism, discretion, and ethical judgment when handling privileged, proprietary, employee, business, and other sensitive information.
  • Assist with compliance initiatives, including policy updates, training coordination, regulatory tracking, internal audits, third-party due diligence, and documentation of compliance activities.
Qualifications
  • Associate or Bachelor's degree in Paralegal Studies, Legal Studies, Business Administration, or a related field required.
  • Paralegal certificate or equivalent legal training preferred.
  • Minimum of 3–5 years of relevant paralegal, legal assistant, corporate legal department, law firm, compliance, contract administration, or business/legal operations experience required.
  • Experience supporting an in-house legal department, corporate governance, contract lifecycle management, intellectual property matters, litigation support, or compliance programs strongly preferred.
  • Proficiency with Microsoft Office applications and experience using contract management, document management, matter management, or legal research tools preferred.
  • Strong writing, proofreading, organizational, research, communication, and follow-through skills required.

  • Working knowledge of contract administration, corporate records, legal terminology, confidentiality requirements, and legal department processes.
  • Ability to manage multiple priorities, track deadlines, follow detailed procedures, and produce accurate work in a fast-paced environment.
  • Strong interpersonal skills with the ability to communicate professionally with executives, employees, outside counsel, vendors, and external parties.
  • Sound judgment and discretion when identifying issues, escalating risks, and handling sensitive or privileged information.
  • Ability to work independently while also collaborating effectively as part of a small, service-oriented legal team.
