Position Summary
QC Capital is seeking a strategic, business-oriented Operational General Counsel to serve as the primary legal advisor for QC Capital and its affiliated companies. This individual will partner closely with the CEO and executive leadership team to provide proactive legal guidance supporting business operations, acquisitions, corporate governance, regulatory compliance, employment matters, lending activities, and strategic growth initiatives.
The General Counsel will oversee the legal affairs of multiple business entities operating across various industries and jurisdictions. The ideal candidate is an experienced corporate attorney who combines strong legal expertise with practical business judgment and serves as a trusted executive advisor capable of balancing legal risk with operational objectives.
This role requires exceptional analytical ability, executive presence, and the capacity to independently manage complex legal matters while coordinating outside counsel when specialized expertise is required.
Executive Leadership & Strategic Partnership
- Serve as the chief legal advisor to the CEO and executive leadership team.
- Participate in executive leadership meetings to provide legal guidance regarding strategic initiatives and business operations.
- Evaluate legal risks associated with corporate decisions while providing practical, business-focused solutions.
- Advise leadership regarding organizational growth, operational expansion, investments, financing, and risk management.
- Develop legal strategies that support long-term business objectives while protecting company assets.
Corporate Governance
- Maintain corporate governance across QC Capital and all affiliated companies.
- Prepare and maintain corporate records, resolutions, annual filings, and organizational documents.
- Coordinate and oversee board meetings, member meetings, corporate resolutions, meeting agendas, and minutes.
- Ensure compliance with applicable state and federal corporate governance requirements.
- Assist with entity formation, restructuring, dissolutions, and intercompany organizational changes.
- Oversee corporate recordkeeping for multiple LLCs, corporations, partnerships, and holding companies.
Corporate Transactions & Private Equity
- Provide legal support for mergers, acquisitions, divestitures, joint ventures, strategic partnerships, and corporate restructuring.
- Lead legal due diligence efforts for acquisitions and investments.
- Draft and negotiate purchase agreements, operating agreements, shareholder agreements, and investment documents.
- Support financing transactions involving lenders, investors, and financial institutions.
- Coordinate transaction closings and post-closing legal obligations.
- Collaborate with finance and executive leadership regarding investment structures and legal implications.
Securities & Investment Compliance
- Provide legal oversight regarding private investment offerings and capital raises.
- Review offering documents, subscription agreements, investor communications, and related disclosures.
- Advise leadership regarding applicable securities laws, including private placement exemptions when applicable.
- Coordinate with outside securities counsel on complex transactions and regulatory matters.
- Assist with investor governance documentation and compliance obligations.
Commercial Contracts
- Draft, negotiate, review, and manage a wide variety of commercial agreements, including:

- Serve as primary legal advisor to Human Resources regarding employment law compliance.

- Develop and maintain enterprise-wide compliance programs.
- Monitor changes in federal, state, and local regulations impacting company operations.
- Ensure compliance across lending, financial services, real estate, employment, privacy, and operational regulations applicable to the company's businesses.
- Conduct internal compliance audits and risk assessments.
- Develop legal compliance training programs for managers and executives.
Banking & Financial Transactions
- Review commercial lending documentation.
- Negotiate financing agreements and banking relationships.
- Advise leadership regarding loan structures and financing transactions.
- Review guarantees, collateral documents, and security agreements.
- Coordinate legal matters involving institutional lenders and banking partners.
- Support commercial real estate acquisitions, dispositions, financing, leasing, and development projects.
- Review purchase and sale agreements.
- Review lease agreements.
- Coordinate title, survey, due diligence, and closing documentation.
- Assist with landlord-tenant matters involving company facilities.
Litigation Management
- Manage all legal disputes, claims, demand letters, and pre-litigation matters.
- Oversee outside litigation counsel.
- Evaluate litigation strategy and settlement opportunities.
- Manage discovery coordination and document preservation.
- Monitor litigation expenses and legal budgets.
- Develop strategies to minimize litigation exposure.
- Protect company trademarks, copyrights, trade secrets, proprietary systems, and confidential information.
- Coordinate trademark registrations and renewals.
- Review licensing agreements.
- Develop internal intellectual property protection policies.
Privacy & Cybersecurity
- Advise leadership regarding data privacy laws and cybersecurity obligations.
- Review privacy policies and data collection practices.
- Assist with incident response planning involving cybersecurity events.
- Coordinate with technology teams regarding legal compliance involving customer and employee data.
- Review insurance policies and coordinate insurance claims.
- Recommend operational improvements that reduce legal exposure.
- Maintain legal compliance calendars and reporting requirements.
- Oversee enterprise contract management and legal documentation.
Outside Counsel Management
- Select, engage, and manage outside law firms.
- Control legal spending and annual legal budgets.
- Evaluate outside counsel performance and efficiency.
Qualifications
Required
- Juris Doctor (J.D.) from an accredited law school.
- Active license to practice law in North Carolina or ability to obtain admission.
- 5-10 years of experience in corporate law, business law, or in-house legal practice.
- Demonstrated experience negotiating sophisticated commercial contracts.
- Strong knowledge of corporate governance, employment law, contract law, business transactions, and regulatory compliance.
- Experience advising executive leadership.
- Excellent written, verbal, analytical, negotiation, and interpersonal skills.
- Ability to independently manage multiple complex legal matters simultaneously.
- High ethical standards with the ability to maintain strict confidentiality.
Preferred
- Prior in-house General Counsel or Associate General Counsel experience.
- Experience supporting private equity firms or family office investment platforms.
- Experience with mergers and acquisitions.
- Experience supporting financial services, lending, investment management, or commercial real estate companies.
- Experience managing outside counsel and legal budgets.
