Job summary

Venable LLP in Washington, DC seeks an experienced Real Estate Finance Associate to advise lenders, servicers, borrowers, and GSEs on high-value transactions. You will review, draft, and negotiate loan documents, SNDAs, and subordination agreements, while handling due diligence and complex ownership structures.

You will also lead deal teams, mentor junior members, and work on multifamily, affordable housing, or hotel projects, including agency lending programs and GSE requirements.

Qualifications

• Experience reviewing, drafting, and negotiating loan documents, SNDAs, and subordination and standstill agreements.
• Experience with multifamily lenders and/or syndicated credit facilities.
• Experience with transactions involving multifamily housing, affordable housing, and/or hotels.
• Familiarity with agency lending programs and GSE requirements.
• Interest in first-chairing transactions and mentoring junior team members.

Responsibilities

Overview

• The Real Estate Finance Group advises lenders, servicers, borrowers, and government-sponsored enterprises on a broad range of sophisticated, high-value commercial real estate finance transactions.
• The associate's work involves reviewing, drafting, and negotiating loan documents, SNDAs, and subordination and standstill agreements.
• The role entails analyzing and managing legal due diligence, including complex real estate ownership structures such as organizational documents, ground leases, mezzanine loan documents, and related instruments.
• The associate will also review and evaluate title, survey, zoning, leases, and legal opinions, and manage and close complex commercial real estate transactions from origination through funding.
• As required by deal volume and complexity, the associate will train and supervise junior associates and paralegals.
• Candidates should have experience with multifamily lenders and/or syndicated credit facilities, and transactions involving multifamily housing, affordable housing, and/or hotels.
• Familiarity with agency lending programs and government-sponsored enterprise requirements is a plus.
• The firm is interested in candidates whose goal is to be comfortable first-chairing transactions, independently managing deal teams, and mentoring junior team members.
