Job summary

The Real Estate Finance Group at Venable LLP provides guidance to lenders, servicers, borrowers, and GSEs on high-value commercial real estate finance transactions. The team reviews, drafts, and negotiates loan documents, SNDAs, and subordination agreements.

Associates manage due diligence for complex ownership structures, evaluate title, survey, zoning, leases, and opinions, and close transactions from origination through funding while mentoring junior colleagues on more complex deals such as

Qualifications

• Experience reviewing, drafting and negotiating loan documents, SNDAs and subordination/standstill agreements.
• Skilled in managing legal due diligence for complex ownership structures.
• Familiarity with multifamily lenders, syndicated facilities, and related deal types.
• Interest in first-chair transactions and mentoring junior team members.

Responsibilities

• The Real Estate Finance Group advises lenders, servicers, borrowers, and government-sponsored enterprises on a broad range of sophisticated, high-value commercial real estate finance transactions.
• The role requires reviewing, drafting, and negotiating loan documents, SNDAs, and subordination and standstill agreements.
• Responsibilities include analyzing and managing legal due diligence, particularly for complex real estate ownership structures, and evaluating title, survey, zoning, leases, and legal opinions.
• Associates manage and close complex commercial real estate transactions from origination through funding, with opportunities to train and supervise junior associates and paralegals as deal complexity requires.
• The group seeks candidates experienced with multifamily lenders and/or syndicated credit facilities, and transactions involving multifamily housing, affordable housing, and/or hotels.
• Familiarity with agency lending programs and government-sponsored enterprise requirements is a plus.
• The ideal candidate has a goal to first-chair transactions, manage deal teams independently, and an interest in mentoring and developing junior team members.
