Confidential Employer in New York, NY is seeking a Mid-Level M&A Associate Attorney to join our New York team. This role focuses on sophisticated public and private mergers and acquisitions with mentorship and advancement opportunities.

You will draft, review, and negotiate merger agreements and related documents, manage due diligence, and coordinate closings across practice areas while working in a hybrid environment with remote Fridays.

Qualificações

• 5+ years of corporate M&A transactional experience at a law firm.
• Meaningful experience handling both public and private M&A transactions.
• Strong experience drafting, reviewing, and negotiating complex M&A documents.
• Excellent transactional drafting, negotiation, analytical, and problem-solving skills.

Responsabilidades

• Represent sophisticated clients in public and private mergers, acquisitions, and other strategic corporate transactions.
• Draft, review, and negotiate merger agreements, purchase agreements, and other complex transactional documents.
• Manage legal due diligence, identify transaction risks, and support deal structuring and execution.
• Assist with negotiating key commercial and legal terms throughout the transaction lifecycle.
• Coordinate transaction processes, documentation, and closings for complex M&A matters.
• Collaborate with attorneys across corporate, finance, tax, antitrust, and other practice areas.
• Advise clients on corporate governance and transaction-related legal considerations.

• Coordinate transaction processes, documentation, and closings for complex M&A matters.
• Collaborate with attorneys across corporate, finance, tax, antitrust, and other practice areas.
• Advise clients on corporate governance and transaction-related legal considerations.
• Take ownership of meaningful deal responsibilities while continuing to develop your transactional expertise.

Qualifications

• Juris Doctor (J.D.) from an accredited law school.
• 5+ years of corporate M&A transactional experience at a law firm.
• Experience handling public and private mergers and acquisitions.
• Strong experience drafting, reviewing, and negotiating complex M&A transaction documents.
• Excellent transactional drafting, negotiation, analytical, and problem-solving skills.
• Ability to manage multiple sophisticated transactions and collaborate across practice areas.
• Strong communication skills, attention to detail, and client-focused judgment.
• Experience at a reputable corporate law firm preferred.
• Strong academic credentials preferred.
