Job summary

McGuireWoods LLP is seeking associates to participate in all stages of deal life cycles, from structuring and negotiation through closing, gaining hands-on experience in sophisticated corporate deals across energy assets, private equity, and cross-border M&A.

You will work closely with partners and senior associates on structuring, financing, and executing transactions, drafting key documents, and advising teams on domestic and cross-border matters in a dynamic, billable-hours environment.

  • Advise legal and business teams on domestic and cross-border matters; support energy-related transactions (power assets, joint ventures, project development).
  • Conduct due diligence; assist with general corporate advisory matters for private company clients.

Overview


  • The firm's Corporate Transactions Group handles complex transactions across various industries, with particular depth in private equity, mergers and acquisitions, and the energy sector (including power, renewable energy, and oil and gas).

  • The role involves working closely with Partner Jay Hughes, whose practice spans public and private mergers and acquisitions, energy transactions, and financings across industrial, oil and gas, power, and renewable energy industries, advising on matters ranging from multi-million-dollar deals to transactions valued at fifteen billion dollars, including business acquisitions, divestitures, joint ventures, project development, and power asset transactions.

  • The role also involves working with Senior Associate Devin Crisanti, whose practice focuses on advising private equity firms, independent sponsors, and private companies on mergers and acquisitions, divestitures, other business combinations, and general corporate matters, with a significant portion of his work involving Canada-U.S. cross-border transactions.

  • Associates will be involved in every stage of the deal lifecycle, from structuring and negotiation through closing, gaining hands-on experience across a diverse range of sophisticated corporate deals, including energy transactions, private equity acquisitions, and cross-border M&A.

  • Key responsibilities include assisting in the structuring, financing, negotiation, and execution of mergers, acquisitions, divestitures, and other corporate transactions across various industries; drafting and negotiating key transaction documents; supporting private equity and independent sponsor transactions (including leveraged buyouts, platform acquisitions, and add-on investments); advising legal and business teams on both domestic and cross-border matters; supporting energy-related transactions (including acquisitions and dispositions of power assets, joint ventures, and project development matters); conducting due diligence; and assisting with general corporate advisory matters for private company clients.
