Job summary

McGuireWoods LLP is seeking associates to participate in all stages of deal life cycles, from structuring and negotiation through closing, gaining hands-on experience in sophisticated corporate deals across energy assets, private equity, and cross-border M&A.

You will work closely with partners and senior associates on structuring, financing, and executing transactions, drafting key documents, and advising teams on domestic and cross-border matters in a dynamic, billable-hours environment.

Qualifications

• Experience assisting in structuring, financing, negotiation, and execution of mergers, acquisitions, divestitures, and other corporate transactions.

Responsibilities

• Assist in structuring, financing, negotiation, and execution of mergers, acquisitions, divestitures, and other corporate transactions across various industries.
• Draft and negotiate key transaction documents.
• Support private equity and independent sponsor transactions (including leveraged buyouts, platform acquisitions, and add-on investments).
• Advise legal and business teams on domestic and cross-border matters; support energy-related transactions (power assets, joint ventures, project development).
• Conduct due diligence; assist with general corporate advisory matters for private company clients.
