Qualifications

• Guide companies through successful financing rounds and complex corporate M&A and commercial transactions.
• Manage portions of transactions independently and coordinate deal teams of associates and subject matter experts.
• Advise clients on corporate governance, formations and compliance throughout transactional life cycles.
• Collaborate with founders, executives and investors to develop and implement strategic objectives.

Overview

• The role focuses on a broad range of corporate, emerging company, and early to later-stage venture capital and private equity transactional matters, involving sophisticated transactions for domestic and international companies, venture and private equity funds, corporate strategic investors, and entrepreneurs.
• Required experience spans venture capital financing (SAFEs, venture debt, NVCA-style raises, secondaries, corporate strategics, family offices), mergers and acquisitions, capital markets/corporate finance, joint ventures, divestitures, private equity, M&A and securities law compliance, corporate formations, and corporate governance matters.
• The position involves guiding companies through successful financing rounds and complex corporate M&A and commercial transactions.
• Candidates should have prior experience at an AmLaw 100 law firm, an interest in supporting senior attorneys, and an aptitude for working closely with founders, executives, and investors to develop a practice.
• Experience working with early-stage and growth-stage companies, founders, private investors, and venture capital and private equity firms is preferred.
• The role requires experience independently managing significant portions of transactions, including demonstrating the ability to manage deal teams of other associates and subject matter experts.
