Duties:

1. Represent corporate clients, including private equity firms, financial sponsors, strategic investors, and public/private companies, in transactional matters.
2. Oversee all phases of M&A deals, from structuring and due diligence to drafting, negotiation, and closing.
3. Prepare and negotiate a variety of transaction documents, including purchase agreements, shareholder and operating agreements, equity commitment letters, term sheets, and disclosure schedules.
4. Lead and coordinate due diligence efforts, including document review, issues identification, and insurance-related processes.
5. Provide strategic legal advice on post-closing integration and general corporate governance.
6. Manage client communications, regulatory updates, and stakeholder interactions across all stages of the transaction.
7. Supervise and mentor junior attorneys and legal staff; review and refine their work product.
8. Maintain corporate records such as structure charts, D&O charts, and confidentiality agreements.
9. Monitor industry developments and regulatory trends to provide tailored legal insight.
10. Collaborate with cross-functional teams and international counsel on multi-jurisdictional matters.

Requirements:
