Job description

We’re partnering with a well-regarded corporate practice in Boston to identify their next Associate Attorney. This firm represents emerging growth companies, venture capital funds, private equity sponsors, and strategic investors across a wide range of transactional matters, and is looking for someone who can manage transactions independently rather than just support them.

About the Role

The team handles the full range of corporate transactional work — M&A, private equity, and venture capital financings — giving associates broad deal exposure across company stages and deal types. Associates here are given real ownership early: direct client interaction, primary drafting responsibility, and genuine involvement in deal strategy and structuring.

Responsibilities
  • Represent emerging growth companies, venture capital funds, private equity sponsors, and strategic investors in corporate transactions
  • Advise clients on venture capital financings, M&A transactions, and private equity and growth equity deals
  • Draft and negotiate transaction documents and ancillary agreements
  • Counsel founders, executives, and boards of directors on governance and strategic matters
  • Manage due diligence processes end-to-end, coordinating with tax, IP, and regulatory specialists
  • Manage transaction timelines and closing logistics, including coordination with outside counsel and advisers
  • Build direct client relationships and contribute to business development as your practice grows
Qualifications
  • J.D. from an accredited law school; active Massachusetts bar license (or eligible to waive in)
  • 3+ years of corporate transactional experience, with hands-on drafting and negotiating experience
  • Demonstrated ability to manage deal processes independently, including full due diligence cycles
  • Strong academic credentials
  • Excellent drafting, negotiation, and client-facing communication skills
  • Comfortable working across multiple deal types and client stages
Required Skills
  • Corporate transactional work across M&A, private equity, and venture capital
  • Drafting and negotiating transaction documents and ancillary agreements
  • Client counseling and relationship management
  • Deal management and organizational skills
Preferred Skills
  • Life sciences or technology sector experience
  • Venture capital financing experience (equity and debt)
  • Business development and origination track record
Equal Opportunity Statement

This isn’t a firm looking to backfill a seat — they’re actively building out their corporate team and want someone ready to manage real transactions, not just support them. The firm is committed to providing equal employment opportunities to all employees and applicants and to creating an inclusive environment where diverse backgrounds, perspectives, and experiences are valued.
