Job summary

Lockridge Partners is seeking a mid-level corporate associate to join its suburban Philadelphia office. The role focuses on M&A, private equity, and general corporate governance across a broad client base from emerging companies to middle-market businesses.

You will lead and support transactions, handle drafting of deal documents, and advise on governance and entity formation while collaborating with senior partners. A hybrid work arrangement is available for the right candidate.

Qualifications

• J.D. from an ABA-accredited law school.
• 4+ years of corporate/transactional experience at a law firm, with alternative entity experience.
• PA Bar admission required.
• Strong drafting skills and meticulous attention to detail.
• Proven ability to manage transactions independently and meet closing deadlines.

Responsibilities

• Lead and support M&A transactions, including due diligence, drafting, and negotiation of deal documents.
• Advise on formation, governance, and restructuring of corporations, LLCs, and alternative entities.
• Draft and negotiate purchase agreements, operating agreements, and ancillary transaction documents.
• Manage client relationships and communicate deal status to senior stakeholders.
• Mentor junior associates and coordinate with cross-practice colleagues as needed.
