Overview

• The role involves managing complex business litigation and arbitration matters through all phases, including case strategy, factual development, discovery, motion practice, settlement, and hearing or trial preparation.
• Responsibilities include drafting pleadings, briefs, and dispositive motions; leading written and fact discovery; coordinating document review; preparing witnesses; and taking/defending depositions.
• The candidate will analyze corporate governance documents, transaction agreements, financial records, and other business materials to identify key factual, legal, and damages issues.
• The role focuses on sophisticated business disputes concerning corporate governance, ownership, fiduciary duties, and transactions, including those arising from mergers and acquisitions, purchase agreements, earn-outs, indemnification, post-closing adjustments, representations and warranties, and valuation issues.
• Ability to read and analyze financial statements, including balance sheets, income statements, and cash-flow statements, and to work effectively with financial records, valuation materials, and damages analyses is required.
• Familiarity with Delaware corporate law or Delaware courts is preferred.
