Job Title: Mergers & Acquisitions Associate Attorney

Location: Seattle WA, New York City NY, San Francisco CA, Denver CO

Employment Type: Full Time

Key Responsibilities

• Advise clients on a wide range of mergers and acquisitions and strategic corporate transactions.
• Handle both domestic and cross-border transactions on the buy-side and sell-side.
• Support and independently manage components of complex transactions, including:
• Acquisitions and divestitures
• Strategic alliances and joint ventures
• Spin-offs and carve-outs
• Leveraged buyouts and recapitalizations
• Tender offers and other corporate transactions
• Conduct legal due diligence, draft and negotiate transaction documents, and coordinate deal execution.
• Analyze and advise on complex structural and corporate governance matters.
• Work closely with clients and internal teams to provide strategic, business-oriented legal advice.

Qualifications

• 3–5 years of experience in mergers & acquisitions and strategic transactions.
• Proven experience handling domestic and cross-border deals.
• Strong understanding of corporate structures and transaction frameworks.
