Job Responsibilities

The role will have at least one direct report to support the team’s initiatives and output. As Seneca and the IUG segment prepare to operate as a standalone public company, the role will play a critical role in drafting and reviewing the initial Form 10 and supporting related public company readiness activities for the IUG segment. A strong technical accounting background is required, including experience researching complex matters and preparing clear, audit-ready accounting memoranda and analyses for management and the Company’s external auditors.

The successful candidate will leverage prior experience leading an external reporting function and enhancing the underlying processes, including establishing reporting calendars, disclosure and review processes, governance protocols and internal controls. The role will also lead or meaningfully support the evaluation, selection and implementation of SEC reporting and XBRL software and will provide management with clear, timely updates on emerging accounting and reporting developments.

  • Partner with in-house SEC legal counsel on other SEC filings, including the proxy statement, registration statements and prospectus filings, by providing and validating financial, accounting and disclosure information.
  • Coordinate with Investor Relations, Legal and other stakeholders on earnings releases, investor materials and reportable events to support accurate, consistent and timely Form 8-K disclosures.
  • Oversee Inline XBRL tagging for applicable SEC filings, including review of taxonomy selection, extensions, calculations and consistency between tagged data and the filed financial statements and footnotes.
  • Partner with Corporate Accounting and other subject-matter owners to research complex transactions and emerging accounting matters and ensure significant conclusions are documented in clear, supportable technical accounting memoranda.
  • Monitor Accounting Standards Updates, SEC rules, interpretive guidance and disclosure trends; assess applicability and communicate implementation requirements, timelines and potential financial reporting impacts to management.
  • Own the SEC reporting calendar and coordinate deliverables, dependencies and review periods across Accounting, Legal, Investor Relations, Tax, Treasury, Operations, executive management and external auditors.
  • Lead the preparation, compilation and review of the external financial statements, footnotes, management’s discussion and analysis, selected financial data and other accounting-related disclosures included in periodic reports.
  • Maintain disclosure checklists, supporting workpapers and tie-out documentation and coordinate management, legal and external auditor reviews through final filing.
  • Establish and maintain disclosure controls and SOX-compliant processes over external financial reporting, including evidence of preparation, review and approval.
  • Administer the Company’s SEC reporting and disclosure management platform, including implementation, user governance, process design and coordination with third-party filing and XBRL service providers, as applicable.
  • Support special transactions and readiness initiatives, including acquisitions, divestitures, debt or equity offerings and other matters requiring incremental financial reporting or pro forma disclosures.
  • Manage, develop and provide technical guidance to reporting staff, including oversight and review of work performed in support of external reporting and public-company readiness activities.
