Job summary

Baker Tilly US is seeking a Manager to join the Transaction Services Tax team. You will develop and implement transaction advisory services for clients with complex needs, serving privately held and publicly traded companies, PE funds, banks, and BDCs.

Qualifications

• Bachelor's degree in finance, Accounting or related field; or a graduate degree with 2 years of related work experience.
• 2+ years of work experience in a mid to large-size professional services firm.
• CPA or JD/LLM required.

Responsibilities

• Interact directly with Partners on client and engagement management.
• Model financial transactions for valuation, structuring and negotiation.
• Prepare memoranda and presentations describing client attributes and industries.
• Assist in tax aspects of acquisition and merger agreements and draft tax opinions/memoranda.
• Identify tax risks and opportunities while advising on alternative tax strategies for acquisitions, dispositions and restructurings.
• Review tax computations in financial models and assist in quantitative/qualitative tax analysis in transactions.
• Data gathering, document review and report preparation.
• Research and financial analysis of target companies.
• Due diligence for buy and sell side transactions.
• Transaction structuring for tax and accounting issues.
• Negotiation support and client communication to ensure service quality.
• Participate in marketing and recruiting activities of the firm.
