Job summary

Baker Tilly US is seeking a Manager to join the Transaction Services Tax team. You will develop and implement transaction advisory services for privately held and publicly traded companies, PE funds, and financial institutions. Open to location across our offices in the U.S.

You will interact with Partners, model transactions, review tax aspects of deals, perform due diligence, and support in client service and marketing activities. CPA or JD/LLM required.

Qualifications

• Bachelor's degree in finance, accounting or related field; or a graduate degree with 2 years of related work experience.
• 2+ years of work-related experience in a mid to large-size professional services firm.
• Certified Public Accountant (CPA) or JD/LLM required.
• Tax due diligence, deal structuring and post-acquisition planning experience and/or inbound/outbound transaction consulting with international tax research, planning and compliance experience.
• Strong written communication skills and highly developed Microsoft Suite skills.

Responsibilities

• Interact directly with Partners on matters related to client and engagement management.
• Model financial transactions used in valuation, structuring and negotiation.
• Prepare memoranda and presentations describing client attributes and industries.
• Assist in review and analysis of tax aspects of acquisition and merger agreements.
• Identify and analyze tax risks and opportunities with advisory on alternative tax strategies.
• Review tax computations in financial models and analyze tax data in projections.
• Data gathering, document review and preparation of reports.
• Research and financial analysis of target companies.
• Due diligence for buy-side and sell-side transactions.
• Transaction structuring for tax and accounting issues.
• Negotiation support and communication with business owners.
• Participate in marketing and recruiting activities.
