Qualifications

• Bachelor's degree in finance, accounting or related field.
• 5+ years of work experience in a mid to large professional services firm.
• CPA or JD/LLM required.
• Tax due diligence, deal structuring and post-acquisition planning experience and/or inbound/outbound transaction consulting with international tax research.
• Strong written and verbal communication and client service skills.

Responsibilities

• Interact with Partners on client engagements and management matters.
• Model financial transactions for valuation, structuring and negotiation.
• Prepare memoranda and presentations describing client companies/industries.
• Review tax aspects of acquisition/merger agreements and draft tax opinions.
• Identify tax risks and opportunities; advise on alternative tax strategies.
• Review tax computations in financial models and analyze tax data in projections.
• Data gathering and report preparation.
• Research and financial analysis of target companies.
• Due diligence for buy-side and sell-side transactions.
• Assist in transaction structuring for tax and accounting issues.
• Support negotiation and client communication to ensure service quality.
• Participate in marketing and recruiting activities.
