Qualifications

• 2+ years of corporate transactional experience in a law firm or corporate setting.
• Experience with M&A transactions and private equity-backed deals.
• Exposure to public company reporting, capital markets, or corporate governance is a plus.
• Strong drafting, negotiation, analytical, and communication skills.
• Excellent academic credentials.

Responsibilities

• Represent private equity sponsors, portfolio companies, and public/private companies in corporate transactions.
• Draft and negotiate transaction documents.
• Conduct due diligence and assist with transaction management.
• Advise clients on corporate governance and general business matters.
• Support securities law compliance and public company reporting obligations.
• Collaborate across practice groups on complex matters.
