Job summary

You will draft, negotiate, and review key transaction documents, manage due diligence, and coordinate with tax, regulatory, finance, and litigation colleagues on complex deals.

Qualifications

• J.D. degree from an ABA-accredited law school and admission to the Florida Bar or willingness to pursue admission.
• 4–6 years of substantive M&A and private equity experience at a national or regional law firm.
• Strong drafting, negotiation, and project management skills.
• Ability to work independently and in a team in a high-volume corporate practice.

Responsibilities

• Drafting, reviewing, and negotiating key M&A and private equity transaction documents such as LOIs, asset or stock purchase agreements, and merger agreements.
• Managing due diligence, including contracts, corporate records, and regulatory materials.
• Coordinating with tax, regulatory, finance, and litigation teams on transaction issues.
• Participating in client meetings and conference calls with strategic input and updates.
• Assisting with closing preparations and post-closing obligations.
