Job summary

Value Driven Solutions, Inc. seeks an IT & Cybersecurity Due Diligence Consultant to assess target IT/OT readiness for an M&A deal.

You will evaluate enterprise IT and plant-floor systems, architect risk-based recommendations, and support a CIO/digital track under an Operating Partner pathway. Responsibilities include validating ERP/manufacturing ecosystems, reviewing security controls and regulatory compliance, and planning post-close integration and cyber remediation to enable a smooth deal

Qualifications

• 8+ years in IT leadership, IT advisory, or cybersecurity; prior M&A or carve-out experience.
• Working knowledge of ERP (SAP, Oracle, Epicor, or similar) and manufacturing systems.
• Certifications such as CISSP, CISM, or CISA preferred.
• Ability to turn technical risk into cost, timeline, and deal-term recommendations.

Responsibilities

• Inventory infrastructure, applications, ERP, MES, and cloud environments.
• Audit software licenses for compliance, transferability, and hidden cost.
• Assess cybersecurity controls, incident history, and data security protocols.
• Review OT and industrial control system security, a key risk in manufacturing and smart factories.
• Check regulatory frameworks such as CMMC, NIST 800-171, SOC 2, HIPAA, or FDA data integrity rules.
• Estimate technical debt, separation or carve-out costs, and required capex.
• Plan Day 1 IT readiness, TSAs, and Industry 4.0 / digital transformation opportunities.
• After close, lead systems integration and cybersecurity remediation.
