Amentum seeks an Assistant General Counsel, M&A and Governance for its Reston, VA headquarters. The role provides hands-on advice in executing strategic transactions while supporting the Board and governance practices across corporate functions.

Hybrid work is required, with on-site presence two days per week in Reston, VA. Ideal candidates will have substantial M&A experience, strong drafting skills, and the ability to manage governance processes in a fast-paced environment.

Qualifications

• 8+ years of relevant experience with a JD (typical).
• Experience with a reputable national or international law firm preferred.
• Hybrid role requiring on-site work two days per week in Reston, VA.

Responsibilities

• Lead M&A execution and post-closing integration work with Strategy and Corporate Development teams.
• Prepare and review board and committee materials including agendas, resolutions, minutes, and presentations.
• Assist with securities filings (Form 10-K, proxy statements) under applicable laws and NYSE rules.
• Advise on corporate governance matters, SOX compliance, and governance policies.
