Job summary

Fox Rothschild in San Francisco seeks a Mid-Level Corporate Associate with 4–6 years of hands-on deal experience to handle a broad range of corporate, commercial, and transactional matters. You will work directly with partners supporting the Architecture, Engineering & Design Professional Firms practice.

Responsibilities include drafting and negotiating, leading deal teams, and managing significant portions of transactions in collaboration with clients and partners.

Qualifications

• 4-6 years of corporate/transactional experience with hands-on deal management.
• Experience with M&A, corporate governance, and corporate formations.
• Strong drafting, negotiation, and analytical abilities.
• Ability to independently manage significant portions of transactions and lead deal teams.

Responsibilities

• Manage mergers and acquisitions transactions with significant autonomy.
• Handle outside general counsel matters for corporations and pass-through entities.
• Draft and negotiate commercial contracts, entity formations, and financings.
• Support ownership transitions and entity governance matters.
• Work directly with multiple partners and their clients.
