Job summary

Verital Advisory Search is seeking a mid-level Mergers & Acquisitions Associate to join a leading national law firm's corporate practice in Chicago. The ideal candidate will have 3+ years of sophisticated corporate and transactional experience, with a strong focus on mergers and acquisitions, joint ventures, private equity transactions, and other complex corporate matters.

Experience on private equity-sponsored and middle-market transactions is particularly valuable.

Qualifications

• 3+ years of corporate/M&A experience.
• Experience in a law firm or similar sophisticated transactional environment.
• Strong experience drafting and negotiating transaction documents.
• Experience with M&A, private equity, joint ventures, and complex corporate transactions.
• Middle-market transaction experience preferred.
• Strong legal writing, communication, and problem-solving skills.
• Ability to quickly understand and navigate complex legal and business issues.
• Strong organizational and deal-management skills.
• Team-oriented approach with an interest in contributing to growth of a national corporate practice.
• Excellent academic credentials.

Responsibilities

• Draft and negotiate definitive and ancillary transaction documents
• Handle sophisticated mergers and acquisitions
• Advise on private equity-sponsored transactions
• Work on joint ventures and other strategic transactions
• Manage legal due diligence processes from start to finish
• Advise private companies, investors, and portfolio companies on corporate matters
• Assist with debt and equity financings
• Handle entity formation and corporate governance matters
• Draft and negotiate commercial agreements
• Coordinate transactions throughout the full deal lifecycle
• Work directly with partners, clients, opposing counsel, and other deal professionals
• Manage multiple transactions and competing deadlines
• Take on increasing responsibility for deal management and client communication
