Responsibilities

• Draft and negotiate definitive and ancillary transaction documents
• Handle sophisticated mergers and acquisitions
• Advise on private equity-sponsored transactions
• Work on joint ventures and other strategic transactions
• Manage legal due diligence processes from start to finish
• Advise private companies, investors, and portfolio companies on corporate matters
• Assist with debt and equity financings
• Handle entity formation and corporate governance matters
• Draft and negotiate commercial agreements
• Coordinate transactions throughout the full deal lifecycle
• Work directly with partners, clients, opposing counsel, and other deal professionals
• Manage multiple transactions and competing deadlines
• Take on increasing responsibility for deal management and client communication
