Job summary

BCL Legal is seeking a transactional attorney to join its Corporate & M&A team in Dallas. The ideal candidate has 4+ years of experience handling M&A, corporate transactions, securities matters, and private equity-related work, with the ability to manage key deal aspects from diligence through closing.

The role offers opportunity to work on sophisticated middle-market and complex transactions in a fast-paced, collaborative environment with significant client exposure and long-term growth

Qualifications

• 4+ years of transactional legal experience in corporate matters.
• Strong background in mergers & acquisitions, corporate law, and securities matters.
• Experience drafting and negotiating complex transaction documents.
• Ability to independently manage significant portions of deals and lead on transactions.
• Excellent written and verbal communication skills.

Responsibilities

• Lead and support mergers and acquisitions transactions from structuring through closing.
• Draft, review, and negotiate acquisition agreements and related documents.
• Advise clients on corporate governance, securities, and general corporate matters.
• Manage due diligence processes and coordinate transaction workflow across parties.
• Support private equity and strategic investment transactions.
• Collaborate with clients, opposing counsel, lenders, and internal stakeholders throughout transactions.

Key Responsibilities

• Lead and support mergers and acquisitions transactions from initial structuring through closing
• Draft, review, and negotiate acquisition agreements and related transaction documents
• Advise clients on corporate governance, securities, and general corporate matters
• Manage due diligence processes and coordinate transaction workflow across parties
• Support private equity and strategic investment transactions
• Collaborate directly with clients, opposing counsel, lenders, and internal stakeholders throughout transactions
• Assist with commercial lending and financing matters, where applicable

Qualifications

• 4+ years of transactional legal experience
• Strong background in mergers & acquisitions, corporate law, and securities matters
• Experience drafting and negotiating complex transaction documentation
• Ability to independently manage significant portions of deals and serve as lead associate on transactions
• Excellent written and verbal communication skills
• Strong attention to detail, organizational skills, and work ethic
• Commercial lending or finance experience is a plus
• Active Texas bar admission required
