Job summary

Goodwin Procter LLP seeks a licensed mid-level associate (3–4 years) to join our Life Sciences group in Palo Alto. The candidate will focus on IP licensing, technology transfer, and other technology transactions, with involvement in IP support for corporate transactions in the life sciences sector.

You will draft and negotiate IP licenses, joint development and collaboration agreements, SaaS and distribution agreements, and perform due diligence for transactions.

Qualifications

• 3–4 years of experience in IP licensing, technology transfer, and related technology transactions, with direct experience preferred.
• Experience in life sciences IP support, including due diligence for corporate transactions and technology transfers.
• Experience in some or all of: drafting and negotiating IP licenses, joint development and collaboration agreements, technology licenses and SaaS agreements, and distribution agreements.
• Experience in adjacent fields is a plus but not weighted as heavily as direct licensing experience.
• Strong academic credentials and excellent written and verbal communication skills.
• General experience working in teams and managing substantial components of transactions independently.
• Relevant bar admission or eligibility to obtain admission promptly.

Responsibilities

• Drafting and negotiating intellectual property licenses (including patent and trademark licenses).
• Structuring and negotiating joint development, collaboration, and other strategic alliance agreements.
• Negotiating technology licenses and services agreements, including software as a service (SaaS) arrangements.
• Drafting and negotiating distribution agreements.
• Performing IP and technology transaction due diligence for corporate transactions and technology transfers.
• Managing components of transactions independently while collaborating with teams.
