Job summary

Energy Dome in Boulder, CO seeks a commercially minded Legal Director to lead strategic contracts and project transactions across the business. You will drive complex commercial agreements and governance while working with cross-functional teams.

You will collaborate with Commercial, Project Development, Finance and Engineering to shape contracting standards for U.S. and international projects, including EPC and long-term energy-related agreements.

Qualifications

  • JD degree from an accredited law school and active membership in good standing with at least one U.S. state bar.
  • 8+ years of relevant legal experience, with significant exposure to complex commercial contracts and transactions.
  • Demonstrated experience in EPC, energy, power generation, infrastructure, construction environments or comparable project-based settings.
  • Proven track record drafting and negotiating complex, high-value commercial and project agreements.
  • Strong understanding of contractual risk allocation, including liabilities, indemnities, warranties, liquidated damages and change management.
  • Strong commercial judgment and ability to assess financial and operational implications of contracts.
  • Ability to work effectively across Finance, Commercial, Engineering, Procurement, Project Development and Project Execution teams.

Responsibilities

The Role

Location: Boulder, Colorado

Reports to: Chief Financial Officer

The Legal Director will provide strategic and hands-on legal support across Energy Dome's business, with a particular focus on complex commercial contracts and project-related transactions.

This role is particularly suited to a commercially minded lawyer with experience in EPC, energy, power generation, infrastructure, industrial or construction environments, where contractual risk is closely connected to project execution, performance and financial outcomes.

The Legal Director will work closely with our Commercial, Project Development, Project Execution, Procurement, Finance and Engineering teams throughout the lifecycle of our projects, while also supporting the company's broader corporate, governance and compliance needs.

As Energy Dome continues to scale, the Legal Director will also play an important role in developing our legal processes, contracting standards and governance framework.

Key Responsibilities

Commercial Contracts & Project Transactions

  • Lead the drafting, review and negotiation of complex commercial and project agreements.
  • Support the negotiation of EPC and EPC-related agreements, equipment and technology supply agreements, procurement contracts, service and maintenance agreements, subcontractor agreements and other project contracts.
  • Support customer-facing agreements and long-term commercial structures, including tolling, capacity, offtake and other project-related arrangements, as applicable.
  • Advise the business on contractual risk allocation, including liabilities, indemnities, warranties, liquidated damages, performance obligations, guarantees, limitations of liability, termination rights and change mechanisms.
  • Partner with Commercial and Project Development teams during bids and negotiations to identify contractual risks and develop commercially workable solutions.
  • Support Project Execution teams on contract interpretation, change orders, claims, variations and other contractual matters arising during project delivery.
  • Ensure effective handover of contractual commitments and risks from negotiation through project execution.

Corporate, Finance & Governance

  • Provide legal guidance on corporate governance and support Energy Dome's U.S. and international corporate activities.
  • Support financing transactions, due diligence, strategic partnerships and other corporate transactions as required.
  • Review and negotiate financing-related documentation in coordination with the CFO, Finance team and external counsel.
  • Advise senior management on legal and contractual matters affecting the business.

Compliance & Legal Operations

  • Support the development and implementation of appropriate compliance policies and legal procedures.
  • Develop and maintain contract templates, playbooks, approval processes and risk guidelines.
  • Help establish scalable legal and contract-management processes as the organization grows.
  • Coordinate and manage external counsel where specialist or jurisdiction-specific advice is required.
  • Provide practical legal guidance and training to teams involved in commercial negotiations and project execution.
What We're Looking For

  • Ability to work effectively across Finance, Commercial, Engineering, Procurement, Project Development and Project Execution teams.
  • Strong negotiation and stakeholder-management skills.
  • Ability to operate autonomously, prioritize effectively and make sound decisions in a fast-moving international environment.
Nice to Have
  • Experience in renewable energy, energy storage, utilities or power generation.
  • Experience with utility-scale infrastructure projects.
  • Direct exposure to EPC contracts, major equipment supply agreements and long-term energy-related commercial agreements.
  • Experience with project finance or financing-related transactions.
  • A combination of in-house and law firm experience.

The anticipated base salary range for this position is $180,000 - $220,000 per year, depending on experience and qualifications.
