Job summary

Fernridge Group in San Diego is seeking an attorney to join its in-house legal and compliance team. The attorney will work closely with the GC/CCO, investment team and senior leadership across transactions, fund matters, corporate governance and regulatory issues.

This broad in-house role is ideal for an attorney with private equity M&A or private funds experience who wants to contribute across the full legal function as the firm grows.

Qualifications

• JD required.
• Approximately 3–6+ years of relevant legal experience.
• Background in either private equity M&A/corporate transactions or private funds/fund formation.

Responsibilities

• Support platform investments, add-on acquisitions, dispositions and other private equity transactions.
• Assist with legal due diligence, deal execution and transaction documentation.
• Support fund formation, fund structuring and ongoing fund-related matters.
• Work on LP agreements, subscription documents, side letters and other investor documentation.
• Advise on management company, fund and entity governance matters.
• Draft and review NDAs, engagement letters and commercial agreements.
• Manage legal workstreams and serve as a key point of contact for investment professionals, outside counsel, and other service providers.
• Help build and improve legal processes as the firm continues to grow.

The Role:

This is a broad in-house opportunity for an attorney coming from either an M&A/private equity transactions or private funds/fund formation background who is interested in expanding their experience across the full legal function of a growing private equity firm.

Key responsibilities:

• Support platform investments, add-on acquisitions, dispositions and other private equity transactions

• Top law firm training strongly preferred
• In-house or investment management experience is a plus, but not required
• Strong drafting, negotiation and project management skills
• Commercial, collaborative and comfortable working in a lean, fast-paced environment
