Job summary

EDF Trading North America, LLC in Houston, TX is seeking a Legal Counsel to manage legal risks, ensure regulatory compliance in a highly regulated energy market, and support commercial teams.

Responsibilities include negotiating confidentiality agreements, vendor and consulting agreements, reviewing master trading agreements, and advising on risk mitigation; requires bar admissions in Texas and New York and transactional experience.

Qualifications

• Licensed to practice law in Texas and New York.
• Minimum 1 year post-qualified experience.
• Experience with wholesale power and gas contracts (NAESB, EEI, ISDA) and structured energy transactions.
• Drafting, reviewing and negotiating confidentiality, vendor and consulting agreements.

• Prepare contract assessments, redlines, recommendations and summary.
• Review, draft, and negotiate confidentiality, vendor and consulting agreements, assignments and amendments, guaranties, and similar agreements.
• Review master trading agreements in accordance with guidelines and senior lawyer oversight.
• Provide timely, technically accurate and commercially aware legal advice to trading and origination teams.
• Outline legal risks to the business and advise on mitigation strategies and processes.
• Support Compliance and Regulatory affairs as required.
