Job summary

Endex is seeking a Commercial Counsel to own customer and vendor contracting across the deal lifecycle in a fast‑moving AI/tech environment. You will draft, negotiate and align agreements with product functionality and data flows, partnering with sales, procurement and technical teams.

Ideal candidates have a JD with bar admission and significant enterprise software deal experience, plus practical judgment to balance legal risk with business needs in a growing company.

Qualifications

• JD or equivalent legal qualification with active bar admission.
• Experience negotiating technology agreements with enterprise customers.
• Ability to distinguish material risk from negotiable terms.
• Willingness to understand the product and data flows behind agreements.
• Experience negotiating enterprise software agreements directly.

Responsibilities

• Draft and negotiate subscription agreements, order forms, NDAs, vendor contracts and partner terms across the deal lifecycle.
• Partner with Sales to anticipate objections and keep negotiations aligned with commercial goals.
• Explain liability, IP, data-use and service commitments in context of customer relationship.
• Maintain templates, fallback positions and escalation guidance.
• Build contracting system: templates, playbooks, approval rules, and contract records to close sound agreements quickly.

About the Role

We're looking for a lawyer who can help complex enterprise deals move quickly while protecting the terms that matter.

As Commercial Counsel at Endex, you'll own customer and vendor contracting. You'll work directly with sales, procurement and technical teams to make agreements clear, workable and consistent with how our product operates.

Your Key Responsibilities

• Own Commercial Agreements: Draft and negotiate subscription agreements, order forms, NDAs, vendor contracts and partner terms across the deal lifecycle.

• Partner with Sales: Anticipate legal objections and keep negotiations tied to the commercial goal.

• Make Risk Decisions Clear: Explain liability, intellectual property, data-use and service commitments in the context of the customer relationship.

• Build Contract Playbooks: Maintain templates, fallback positions and escalation guidance.

• Build the Contracting System: Maintain templates, negotiation playbooks, approval rules and contract records that help the team close sound agreements quickly.

What We're Looking For

• Qualified Attorney: You have a JD or equivalent legal qualification and active bar admission.

• Commercial Experience: You've negotiated technology agreements with enterprise customers.

• Practical Judgment: You distinguish material risk from an issue that can be resolved through clear terms.

• Technical Fluency: You want to understand the product and the data flows behind an agreement.

• Commercial Technology Practice: You have negotiated enterprise software agreements directly and can balance legal risk, customer trust and the needs of a growing business.
