Reporting to the Managing Principal Counsel, CG/ST, the role develops training, aligns disclosure controls, and supports transition as MMS becomes Wellverse. Hybrid work in Richmond, VA, with remote options.

Qualifications

• Knowledge of SEC and stock exchange rules, including board disclosures.
• Experience building governance, disclosure, and compliance processes.
• Clear, practical counsel to executives, directors, and shareholders.
• Ability to work independently and collaboratively in a matrixed enterprise.

Responsibilities

• Work with Assistant Corporate Secretary to build and continuously improve governance, board processes, disclosure controls, and public-company readiness.
• Assist in corporate secretarial operations on an as-needed basis.
• Lead shareholder engagement, coordinate roadshows, and liaise with Investor Relations, Communications, and senior leadership.
• Respond to shareholder inquiries and coordinate with ISS/Glass Lewis on proxy matters.
• Develop proxy statement disclosure strategies and manage shareholder proposals and responses.
• Monitor SEC developments and implement governance and reporting changes.
• Provide training on securities law, governance, and compliance obligations.
