Job summary

Intercontinental Exchange, Inc. (ICE) is seeking a Lead Counsel for the ICE Mortgage Technology unit. This in‑office role reports to the Sr.

Director - Associate General Counsel and negotiates enterprise SaaS agreements while advising go‑to‑market stakeholders. The Lead Counsel will collaborate with a small legal team to address revenue recognition, data privacy, and information security matters, with relocation assistance available for qualified candidates and multiple office options

Qualifications

• Law degree from an accredited U.S. law school and bar in good standing.
• 4+ years of law firm and/or in-house experience, preferably counseling a technology company (SaaS contracting).
• Prior in-house SaaS contracting experience is highly preferred.
• Excellent drafting, negotiation, organizational, interpersonal, and communication skills.
• Ability to lead diverse teams through complex enterprise negotiations and manage timelines.
• Comfort with revenue recognition, data privacy, and information security in contracts.

Overview

Job Purpose

This Lead Counsel will report to the Sr. Director - Associate General Counsel focused on origination products in the ICE Mortgage Technology business unit as an integral member of a small legal team that negotiates contracts for our enterprise mortgage technology SaaS solutions.

This role requires full-time, in-office attendance in any of our Jacksonville, FL (preferred); Provo, UT; or Atlanta, GA offices, with relocation assistance available for qualified candidates.

Responsibilities

• Draft, negotiate, and close a variety of commercial agreements, with a focus on enterprise SaaS agreements with the company’s customers.
• Gain a detailed understanding of the company’s solutions to ensure alignment with contracts.
• Act as a strategic partner and advisor, providing thoughtful and prompt legal and business guidance to all internal go-to-market stakeholders.
• Work collaboratively with other members of the legal team to address additional needs of the company, including contracting with the company’s platform partners and managing informal commercial disputes.

Knowledge And Experience

• Law degree from an accredited U.S. law school and member in good standing in applicable state bar association
• 4+ years law firm and/or in-house experience, preferably counseling a technology company (SaaS commercial contracting)
• Prior in-house experience with enterprise SaaS commercial contracting highly preferred
• Excellent drafting, negotiation, organizational, interpersonal, and communication skills
• Ability to lead diverse teams through complex negotiations of enterprise sales deals, keeping all tasks organized and stakeholders clearly informed of deliverables and timelines
• Comfort with handling topics such as revenue recognition, data privacy, and information security in customer contracts (partnering with relevant subject matter experts as necessary)
• Ability to understand business objectives and think creatively to find practical resolutions
• Self-starter and able to work well independently and as part of a team
