The Lead Contracts Administrator is responsible for managing the full lifecycle of commercial agreements across the enterprise. A successful Lead Contracts Administrator combines technical contract expertise, operational discipline, and cross-functional partnership to ensure contracts are drafted, negotiated, executed, and administered in alignment with enterprise risk standards, compliance obligations, and commercial objectives.
Responsibilities:
- Contract Lifecycle Management
- Draft, review, and negotiate a broad range of commercial agreements, including strategic partnership agreements, customer agreements, supplier contracts, distribution agreements, NDAs, exclusivity agreements, and amendments.
- Manage contract intake, triage, prioritization, and workflow coordination with business stakeholders.
- Develop and manage templates and ensure alignment with risk matrices, delegation of authority, and enterprise policies.
- Oversee execution workflows and maintain accurate contract records within the CLM system.
- Risk Management and Compliance
- Identify and assess legal, financial, and operational risks within contractual arrangements.
- Escalate material deviations in accordance with Legal Department guidelines.
- Ensure alignment with corporate compliance frameworks, including the published policies, data privacy requirements, strategic partnership requirements, and applicable regulatory standards.
- Support internal audit requests and manage contract-related compliance inquiries.
- Process and Systems Leadership
- Serve as functional lead and power user for the Contract Lifecyle Management (CLM) platform.
- Maintain standard templates, clause libraries, negotiation playbooks, and fallback positions.
- Track contract metrics including cycle time, deviation rates, renewal deadlines, and bottlenecks.
- Drive continuous improvement initiatives to enhance efficiency and risk controls.
- Cross-Functional Partnership
- Act as liaison between Legal and other enterprise teams regarding contract strategy and execution.
- Provide guidance on contract interpretation and post-execution obligations.
- Deliver enterprise-wide training on contract processes, risk awareness, and compliance expectations.
- Mentor junior contract administrators or support staff, as applicable.
Requirements:
- Bachelor's Degree Bachelor's degree required
- PhD Juris Doctorate (JD) preferred preferred
- 12+ years Progressive experience in contract administration within a corporate legal department or commercial enterprise, including procurement. required
- Experience supporting high-volume commercial contracting operations. required
- Demonstrated expertise and ownership of an enterprise CLM, such as Ironclad, GEP, LinkSquares, or comparable platforms. required
- Advanced understanding of contract structure and commercial risk allocation.
