Overview

• The Corporate group supports a growing practice representing strategic private company buyers and sellers, private equity, venture capital and other investors, and emerging companies and founders on a variety of corporate matters.
• The Corporate practice advises clients on complex transactional matters across industries, with strengths in emerging companies and venture capital, middle-market M&A, and strategic corporate transactions.
• The role involves advising private companies, private equity sponsors, and investors on middle-market M&A (including platform acquisitions, sale processes, add-on acquisitions, and joint ventures); advising private companies and private equity portfolio companies on corporate governance and counseling; and advising emerging growth companies and founders on corporate governance, entity formation, day-to-day legal matters, and venture financings (seed, Series A, and later-stage equity).
• Responsibilities include assisting with transaction structuring, due diligence, negotiation, and closing processes; drafting and negotiating transaction documents (financing documents, purchase agreements, governance materials, disclosure schedules, ancillary agreements, and closing documentation); coordinating and managing due diligence review and workstreams; and collaborating with management teams, sponsors, investors, and founders to manage deal timelines and deliverables.
• The role involves collaboration with attorneys across the firm in related practice areas, including technology transactions, tax, employee benefits, employment, intellectual property, privacy and security, environmental, and real estate.
• Associates gain hands-on experience throughout the deal lifecycle and are offered early responsibility.
• Preferred experience includes mergers and acquisitions, venture financings, emerging companies, and general corporate matters.
