Overview

• The Corporate practice advises strategic private company buyers and sellers, private equity, venture capital and other investors, and emerging companies and founders on corporate matters, with strengths in emerging companies and venture capital, middle-market M&A, and strategic corporate transactions across technology and startup ecosystems.
• Role responsibilities include advising private companies, private equity sponsors, and investors on middle-market M&A (platform, add-on, sale processes, joint ventures, strategic transactions), providing corporate governance and counseling to private companies, their boards, and private equity portfolio companies, and advising emerging growth companies and founders on governance, entity formation, day-to-day matters, and venture financings (seed, Series A, later-stage equity).
• The associate will assist with transaction structuring, due diligence, negotiation, and closing processes; draft and negotiate transaction documents (including financing, purchase, governance, disclosure schedules, ancillary, and closing documentation); coordinate and manage due diligence review; and work closely with management teams, sponsors, investors, and founders to manage deal timelines and deliverables.
• The role involves collaborating with attorneys across related practice areas, including technology transactions, tax, employee benefits, employment, intellectual property, privacy and security, environmental, and real estate.
• The group emphasizes collaboration, mentorship, and early responsibility, providing associates with hands-on experience throughout the deal lifecycle.
• Candidates are preferred to have experience with mergers and acquisitions, venture financings, emerging companies, and general corporate matters, and a demonstrated interest in transactional practice and advising private companies, investors, and founders.
